1. Agreement to Terms

By accessing or using phpmotors ("Service," "Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

phpmotors provides a white-label platform for car dealerships to showcase their inventory through TikTok-style video feeds. Our services include:

  • Custom-branded video platform
  • Vehicle inventory management
  • Video hosting and optimization
  • Lead generation tools
  • WhatsApp integration
  • SEO optimization
  • Multi-language support

3. Account Registration

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Information

You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Payment Terms

4.1 One-Time Payment

phpmotors operates on a one-time payment model of $1,000 for the White-Label PRO Store. This payment includes:

  • Platform setup and configuration
  • Custom domain linking
  • Unlimited inventory uploads
  • Lifetime platform access
  • Lifetime updates and improvements

4.2 Optional Add-Ons

Additional services such as domain registration and hosting are available at custom pricing. These services are optional and billed separately.

4.3 Refund Policy

Due to the nature of our service and the immediate delivery of digital products, all sales are final. We do not offer refunds after platform setup has been initiated.

5. User Content

5.1 Your Content

You retain all rights to the content you upload to the Platform, including vehicle information, videos, images, and descriptions ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute your content solely for the purpose of providing the Service.

5.2 Content Restrictions

You agree not to upload content that:

  • Violates any laws or regulations
  • Infringes on intellectual property rights
  • Contains false or misleading information
  • Is defamatory, obscene, or offensive
  • Contains viruses or malicious code
  • Violates the rights of others

5.3 Content Monitoring

We reserve the right, but have no obligation, to monitor, review, or remove User Content that violates these Terms or is otherwise objectionable.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service in any way that violates applicable laws
  • Impersonate or attempt to impersonate phpmotors or another user
  • Engage in any activity that interferes with or disrupts the Service
  • Attempt to gain unauthorized access to any part of the Service
  • Use automated systems to access the Service without permission
  • Resell or redistribute the Service without authorization

7. Intellectual Property

7.1 Our Property

The Service, including its original content, features, and functionality, is owned by phpmotors and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 White-Label License

Upon payment, you receive a non-exclusive, non-transferable license to use the Platform with your own branding for your business purposes. This license does not grant you ownership of the underlying software or technology.

8. Service Availability

We strive to provide uninterrupted service, but we do not guarantee that:

  • The Service will be available at all times
  • The Service will be error-free or secure
  • Any defects will be corrected
  • The Service will meet your specific requirements

We reserve the right to modify, suspend, or discontinue any part of the Service with or without notice.

9. Third-Party Services

The Service may integrate with third-party services (e.g., WhatsApp, payment processors, domain registrars). Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for any third-party services.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PHPMOTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

12. Indemnification

You agree to indemnify, defend, and hold harmless phpmotors and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another party

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms constitute the entire agreement between you and phpmotors regarding the Service and supersede all prior agreements and understandings.
